Compliance Verification Testing of a Vehicle in Accordance with ECE R134, ECE R100 and ECE R10 Regulations Badania potwierdzające zgodność pojazdu z wymaganiami regulaminów ECE R134, ECE R100 oraz ECE R10 Description of the subject of the contract a. Brief description of the subject of the contract: Compliance Verification Testing of a Vehicle in Accordance with ECE R134, ECE R100 and ECE R10 Regulations. b. Purpose of the contract: Development and verification of an Innovative Family of 12-Metre Hydrogen-Powered Urban Buses c. Detailed description of the subject of the contract: 1. Verification of vehicle compliance with the requirements of UN Regulation No. 134 for a category M3 vehicle The Contractor shall perform testing and compliance verification on a bus provided by the Ordering Party. The vehicle provided by the Ordering Party will be prepared to fulfil the requirements of Part III of UN Regulation No. 134, concerning specifications for a vehicle fuel system incorporating a compressed hydrogen storage system. The Contractor shall verify the vehicle's compliance with paragraph 7.1 of Part III of UN Regulation No. 134. The vehicle will be made available for testing at the Ordering Party’s manufacturing facility together with the relevant technical documentation describing the safety-related performance of the hydrogen-fuelled vehicle. The Contractor shall prepare a test report documenting the results of the verification and confirming compliance with the applicable requirements of UN Regulation No. 134. 2. Verification of vehicle compliance with the requirements of UN Regulation No. 100 for a category M3 vehicle The Contractor shall perform testing and compliance verification on a bus provided by the Ordering Party. The vehicle provided by the Ordering Party will be prepared to fulfil the requirements of Part I of UN Regulation No. 100 concerning safety requirements with respect to the electric power train of road vehicles. The Contractor shall perform testing and verification in accordance with UN Regulation No. 100.04, Part I, paragraph 5 and Annexes 3, 4, 5A and 6. The vehicle will be made available for testing at the Ordering Party’s manufacturing facility together with the relevant technical documentation describing the essential characteristics of the electric power train system. The Contractor shall prepare a test report documenting the results of the verification and confirming compliance with the applicable requirements of UN Regulation No. 100. 3. Verification of vehicle compliance with the requirements of UN Regulation No. 10 for a category M3 vehicle The Contractor shall perform testing and compliance verification on a bus provided by the Ordering Party. The vehicle provided by the Ordering Party will be prepared to fulfil the requirements of UN Regulation No. 10. The Contractor shall perform testing and verification in accordance with UN Regulation No. 10.06, paragraphs 6.2-6.4 and 7.2-7.9, as well as Annexes 4-6 and 11-16. The vehicle will be made available for testing at the Ordering Party’s manufacturing facility together with the relevant technical documentation describing the vehicle with respect to electromagnetic compatibility. The Contractor shall prepare a test report documenting the results of the verification and confirming compliance with the applicable requirements of UN Regulation No. 10. The Contractor shall provide complete test reports, measurement results and technical documentation demonstrating the scope of tests performed and the level of compliance with the applicable requirements of UN Regulations No. 134, No. 100 and No. 10. The Contractor shall issue formal test reports containing the test methodology, measurements, results and conclusions regarding compliance with the applicable requirements. Unless explicitly stated otherwise, the scope shall include all activities, equipment and resources necessary to perform the relevant assessment or test and to document its results. The Ordering Party shall provide the test vehicle, vehicle documentation and technical data identified as necessary for the respective activity. Contractor’s Responsibilities The Contractor shall be responsible for: a) providing the necessary technical resources and qualified personnel required to perform the tests; b) preparing and agreeing the schedule for the tests with the Ordering Party; c) performing the tests in accordance with the scope and requirements of the applicable standards and regulations specified in the Request for Quotation and its appendices; d) preparing reports presenting the test results, findings and conclusions; e) cooperating with the Ordering Party’s team throughout the performance of the tests, including during technical arrangements and the review and assessment of the test results. Ordering Party’s Responsibilities The Ordering Party shall be responsible for: a) provision of the bus, providing the technical data and documentation necessary for the performance of the tests; b) receiving the test results and reviewing the final report; c) providing, in a timely manner, any information and clarifications necessary for the proper performance of the tests and examinations. Cooperation and Test Execution a) Communication between the Parties shall be conducted primarily by e-mail and through online meetings; b) Compliance testing shall be carried out at the Ordering Party’s premises. Accordingly, the Contractor shall ensure the presence of appropriately qualified personnel at the test location for the duration of the relevant testing and verification activities. c) All technical data, documentation, test results and other information exchanged or generated in connection with the performance of the Contract shall be treated as confidential. d) The Ordering Party’s representatives shall have the right to be present during and monitor the performance of the tests. d. Place of order fulfilment: The tests are planned to be conducted at the Ordering Party’s premises: Solaris Bus & Coach sp. z o.o. ul. Obornicka 46, Bolechowo-Osiedle 62-005 Owińska, Polska f. Term of the contract:  planned start date: 23.11.2026 r.  planned completion date: 31.12.2026 r. The detailed schedule for performance of the Contract shall be agreed with the selected Contractor after contract award. The Ordering Party reserves the right to modify the Contract performance schedule in the event of a delay in the conclusion of the Contract or in the occurrence of circumstances beyond the Ordering Party's reasonable control that justify such modification. g. Tender validity period − at least 30 calendar days from the day following the deadline of submission of tenders. At the request of the Ordering Party, the tenderers may be once required to extend the tender validity period by additional 60 days under pain of rejecting the tender. h. Partial tenders - The Ordering Party does not allow partial offers to be submitted under this announcement. i. Variant tenders - The Ordering Party does not permit the submission of variant tenders. j. Subcontracting - The Contractor shall be entitled to perform the Contract with the involvement of subcontractors. The Contractor shall notify the Contracting Authority in writing of any subcontractor engaged in the performance of the Contract and shall provide a detailed description of the scope of work entrusted to such subcontractor. The Contractor shall remain fully responsible for the acts and omissions of any subcontractor as for its own acts and omissions. Equilibrity Wherever the object of the command is described with the trademarks, patents or origin, source or a specific process it is permitted to apply solutions equal to the described ones under condition that they would have the same or better technical and functional specifications and would not downgrade standards indicated in documentation. Wherever the object of the command is described by reference to the standards, technical evaluations, specifications or technical reference systems it is permitted to apply solutions equal to the described ones. Warunki udziału: Uprawnienia do wykonywania określonej działalności lub czynności: The Contractor holds all authorizations, approvals and/or accreditations required by the relevant competent authorities to perform the compliance tests, inspections, measurements, assessments and other activities covered by the scope of the Contract, as specified in section IV point c) Detailed description of the subject of the contract. TThe fulfilment of the conditions shall be assessed on the basis of the declaration submitted by the Contractor Party, constituting Annex 3 to the Request for Proposal. At the request of the Ordering Party, the Contractor shall, within 48 hours of receipt of such request, submit documents and information confirming the fulfilment of the conditions for participation in the procedure, including, as applicable: - copies of the required certificates, authorisations, approvals and/or accreditations; Wykonawca posiada wszelkie upoważnienia, zezwolenia i/lub akredytacje wymagane przez właściwe organy do przeprowadzania badań zgodności, inspekcji, pomiarów, ocen oraz innych działań objętych zakresem Umowy, zgodnie z postanowieniami Sekcji IV pkt c) Szczegółowy opis przedmiotu zamówienia. Spełnienie warunków będzie oceniane na podstawie oświadczenia złożonego przez Wykonawcę, stanowiącego Załącznik nr 3 do Zapytania ofertowego. Na żądanie Zamawiającego Wykonawca, w terminie 48 godzin od otrzymania takiego żądania, przedłoży dokumenty i informacje potwierdzające spełnianie warunków udziału w postępowaniu, obejmujące odpowiednio: - kopie wymaganych certyfikatów, upoważnień, zezwoleń i/lub akredytacji; Osoby zdolne do wykonania zamówienia: The Contractor shall have a team assigned to the performance of the contract with experience in conducting compliance testing of M3 category vehicles. The Contractor shall demonstrate that the person designated to manage the performance of the contract (the Team Leader), who will participate in the performance of the contract, has, within the last 3 years prior to the deadline for submission of tenders, successfully completed at least 3 services, each involving compliance testing of M3 category vehicles against at least one of the standard, UN Regulation and/or EU regulation specified in Section IV, point c) Detailed Description of the Subject of the Contract. The fulfilment of the conditions shall be assessed on the basis of the declaration submitted by the Contractor Party, constituting Annex 3 to the Request for Proposal. At the request of the Ordering Party, the Contractor shall, within 48 hours of receipt of such request, submit documents and information confirming the fulfilment of the conditions for participation in the procedure, including, as applicable: - a list of personnel assigned to the performance of the Contract, including information on their qualifications, professional experience and role in the Contract, together with information necessary to verify compliance with the experience requirement specified for the Team Leader. The list shall include a description of the relevant services performed by the Team Leader, indicating the subject matter of the services, the applicable regulations or standards, the dates of performance and the entity for which the services were performed. At the request of the Ordering Party, the Contractor shall provide references or other documents confirming the proper completion of the indicated services. Where, for justified reasons, the Contractor is unable to provide such references, a declaration confirming the proper completion of the relevant services shall be accepted. References or other documents confirming the proper completion of services shall not be required where the indicated services were performed for the Ordering Party and the Ordering Party is able to verify their proper completion based on its own records and knowledge. Wykonawca dysponuje zespołem skierowanym do realizacji zamówienia, posiadającym doświadczenie w prowadzeniu badań zgodności pojazdów kategorii M3. Wykonawca wykaże, że osoba wyznaczona do kierowania realizacją zamówienia (Lider Zespołu), która będzie uczestniczyć w realizacji zamówienia, w okresie ostatnich 3 lat przed upływem terminu składania ofert należycie zrealizowała co najmniej 3 usługi, z których każda obejmowała badania zgodności pojazdów kategorii M3 z co najmniej jedną normą, Regulaminem ONZ i/lub regulacją UE wskazaną w Sekcji IV pkt c) Szczegółowy opis przedmiotu zamówienia. Spełnienie warunków będzie oceniane na podstawie oświadczenia złożonego przez Wykonawcę, stanowiącego Załącznik nr 3 do Zapytania ofertowego. Na żądanie Zamawiającego Wykonawca, w terminie 48 godzin od otrzymania takiego żądania, przedłoży dokumenty i informacje potwierdzające spełnianie warunków udziału w postępowaniu, obejmujące odpowiednio: - wykaz personelu skierowanego do realizacji Umowy, zawierający informacje dotyczące jego kwalifikacji, doświadczenia zawodowego oraz roli pełnionej przy realizacji Umowy, wraz z informacjami niezbędnymi do zweryfikowania spełnienia wymogu doświadczenia określonego dla Lidera Zespołu. Wykaz powinien obejmować opis odpowiednich usług wykonanych przez Lidera Zespołu, ze wskazaniem przedmiotu usług, mających zastosowanie regulacji lub norm, terminów realizacji oraz podmiotu, na rzecz którego usługi zostały wykonane. Na żądanie Zamawiającego Wykonawca przedłoży referencje lub inne dokumenty potwierdzające należyte wykonanie wskazanych usług. Jeżeli z uzasadnionych przyczyn Wykonawca nie jest w stanie przedłożyć takich referencji, dopuszcza się złożenie oświadczenia potwierdzającego należyte wykonanie danych usług. Referencje lub inne dokumenty potwierdzające należyte wykonanie usług nie będą wymagane, jeżeli wskazane usługi były realizowane na rzecz Zamawiającego, a Zamawiający jest w stanie zweryfikować ich należyte wykonanie na podstawie posiadanej dokumentacji i własnej wiedzy. Potencjał techniczny: The Contractor has at its disposal all measuring equipment, testing devices, tools, software and other technical resources necessary for the proper performance of all tests specified in Section IV, point c) Detailed Description of the Subject of the Contract, and shall ensure their availability throughout the performance of the Contract. The fulfilment of the conditions shall be assessed on the basis of the declaration submitted by the Contractor Party, constituting Annex 3 to the Request for Proposal. At the request of the Ordering Party, the Contractor shall, within 48 hours of receipt of such request, submit documents and information confirming the fulfilment of the conditions for participation in the procedure, including, as applicable: - a list and/or description of the measuring equipment, testing devices, tools, software and other technical resources available for the performance of the Contract, together with information on the legal basis for their availability where requested by the Ordering Party. Wykonawca dysponuje wszelkim wyposażeniem pomiarowym, urządzeniami badawczymi, narzędziami, oprogramowaniem oraz innymi zasobami technicznymi niezbędnymi do prawidłowego wykonania wszystkich badań określonych w Sekcji IV pkt c) Szczegółowy opis przedmiotu zamówienia oraz zapewni ich dostępność przez cały okres realizacji Umowy. Spełnienie warunków będzie oceniane na podstawie oświadczenia złożonego przez Wykonawcę, stanowiącego Załącznik nr 3 do Zapytania ofertowego. Na żądanie Zamawiającego Wykonawca, w terminie 48 godzin od otrzymania takiego żądania, przedłoży dokumenty i informacje potwierdzające spełnianie warunków udziału w postępowaniu, obejmujące odpowiednio: - wykaz i/lub opis wyposażenia pomiarowego, urządzeń badawczych, narzędzi, oprogramowania oraz innych zasobów technicznych dostępnych na potrzeby realizacji Umowy, wraz z informacją o podstawie dysponowania tymi zasobami, jeżeli Zamawiający zażąda przedstawienia takich informacji. Dodatkowe warunki udziału: Contractors/Suppliers who are personally or financially affiliated with the Ordering Party shall be subject to exclusion from the contract award procedure. Capital or personal relations shall mean mutual relations between the Ordering Party or persons authorized to enter into commitments on behalf of the Ordering Party or persons performing on behalf of the Ordering Party activities related to the preparation and implementation of procedures for selection of the contractor, or persons who may influence the result of the proceedings and the Contractor, in particular by: - participation in a partnership, as a partner in a civil law partnership or partnership; holding at least 10% of the shares, unless a lower threshold is required by law; or wasn’t specified by the project managing authority; being a member of the supervisory or management body, acting as proxy; - being married or in a relationship of direct kinship in a straight line, consanguinity or affinity in the collateral line to the second degree, or being related by adoption, guardianship or custody, either cohabitation with the Contractor, its legal representative or members of the management or supervisory bodies of the Contractors applying for the award of the contract; - remaining in such a legal or factual relationship with the Contractor that there is reasonable doubt about impartiality or independence in connection with the procurement procedure. Excluded from participation in the contract award procedure shall be persons performing activities in the contract award procedure or who have been validly sentenced for an offence committed in connection with the contract award procedure, economic or trade-related offences or other offences committed for financial gain. Compliance with the criterion will be assessed on the basis of a declaration on lack of no capital or personal bonds – Annex 2 to the Request for Proposal. Wykluczeniu z postępowania podlegają Wykonawcy, którzy są powiązani osobowo lub kapitałowo z Zamawiającym. Przez powiązania kapitałowe lub osobowe rozumie się wzajemne powiązania między Zamawiającym lub osobami upoważnionymi do zaciągania zobowiązań w imieniu Zamawiającego lub osobami wykonującymi w imieniu Zamawiającego czynności związane z przygotowaniem i przeprowadzaniem procedury wyboru Wykonawcy, a Wykonawcą, polegające w szczególności na: - uczestniczeniu w spółce, jako wspólnik spółki cywilnej lub spółki osobowej; posiadaniu co najmniej 10% udziałów lub akcji, o ile niższy próg nie wynika z przepisów prawa lub nie został określony przez instytucję zarządzającą projektem; pełnieniu funkcji członka organu nadzorczego lub zarządzającego, prokurenta, pełnomocnika; - pozostawaniu w związku małżeńskim, w stosunku pokrewieństwa lub powinowactwa w linii prostej, pokrewieństwa lub powinowactwa w linii bocznej do drugiego stopnia, lub związaniu z tytułu przysposobienia, opieki lub kurateli albo pozostawaniu we wspólnym pożyciu z Wykonawcą, jego zastępcą prawnym lub członkami organów zarządzających lub organów nadzorczych Wykonawców ubiegających się o udzielenie zamówienia; - pozostawaniu z wykonawcą w takim stosunku prawnym lub faktycznym, że istnieje uzasadniona wątpliwość co do ich bezstronności lub niezależności w związku z postępowaniem o udzielenie zamówienia. Osoby wykonujące czynności w postępowaniu o udzielnie zamówienia podlegają wyłączeniu, jeżeli ubiegają się o udzielenie tego zamówienia lub zostały prawomocnie skazane za przestępstwo popełnione w związku z postępowaniem o udzielenie zamówienia, przestępstwo przekupstwa, przestępstwo przeciwko obrotowi gospodarczemu lub inne przestępstwo popełnione w celu osiągnięcia korzyści majątkowych.
